The Green Schools Online website is owned and operated by Green Schools Online (GSO), a trading name of Viridise Ltd, a company limited by guarantee, registered in England and Wales (company number 6404170). The registered office is 51 Old Woolwich Road, London SE10 9PP.

Before purchasing a website system using the GSO Content Management System software ('CMS') please read this agreement as it is a legal contract between you and Green Schools Online regarding your use, copying and disclosure of the software and its documentation. By purchasing a website system using the 'CMS', you agree to abide by the Terms & Conditions of this licence agreement.

1. Intellectual Property Rights
a.	All rights to the 'CMS' and all copyrights, patents, trademarks or other proprietary rights thereto are, and shall remain with GSO. You acknowledge that no right, title or interest in these items is granted under this agreement.
b.	GSO grants to you a non-exclusive, non-transferable licence to use the 'CMS' for your website only within the purchasing institution.

2. Restrictions on Use
a.	You must not cause or permit the copying or reproduction of the 'CMS'.
b.	The 'CMS' including documentation must not be sold, transferred, lent, leased or given to any third parties whatsoever.

3. Duration
a.	This Agreement and the Licence granted herein commences on the date of the invoice.
b.	Subject to the terms of this Agreement, the Licence shall continue for 12 months.

4. Charges
a.	You agree to pay the Licence Fee within twenty-one (21) days of receiving an invoice from GSO.

5. Disclaimers & Limited Liabilities
a.	Green Schools Online makes no warranties with respect to the licensed programs.
b.	The foregoing warranties are in lieu of all other warranties, express or implied, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose with respect to the purchased website. In no event will GSO be liable for damages, including direct or indirect consequential loss arising out of your use or inability to use the 'CMS' and its accompanying documenting materials, including instructions for use.
c.	The liability of GSO shall be limited to the monies paid for the purchased website.
6. Software Code
a.	The origin of the 'CMS' must not be misrepresented; you must not claim that you wrote the original software.
b.	The 'CMS' may not be altered in anyway or used for any other purpose other than to display the purchased website.
7. Ownership
a.	You acknowledge that GSO retains ownership of the Software and Documentation, and all proprietary rights in the Software and Documentation.
b.	You agree all Intellectual Proprietary Rights in the Software and Documentation are and shall remain the exclusive property of GSO and any of its third party suppliers.
c.	Unless expressly permitted in this Agreement, You must not use any of GSO or its third party suppliers' intellectual property without GSO or its third party suppliers' prior written consent.
d.	Nothing in this Agreement should be construed as transferring any aspects of such rights mentioned in this clause to You or any Third Party. GSO reserves any and all rights not expressly granted herein.

8. Ownership of copy, imagery and other mediums ('Content')
a.	All 'Content' displayed on a purchased website using the 'CMS' shall remain the property of the purchasing institution.
b.	GSO shall at no time be held responsible or accountable for any 'Content' (textual, imagery or otherwise) displayed or transmitted by a purchased website using the 'CMS'. Purchasing institutions are reminded of their responsibility to use content (textual, imagery and other media) on their website that does not infringe IPR or copyright of any third parties.
c.	Purchasing institutions that grant access to the ‘CMS’ to minors should ensure that they have adequate processes and systems in place to ensure appropriate editorial control by an adult.
d.	GSO shall retain at all times the right to terminate any contractual obligations should it be deemed that the 'Content' of such a purchased website system using the 'CMS' to be contrary to legal, ethical or otherwise acceptable standards and therefore considered detrimental to the interests of GSO and its agents. Please refer to GSO for clarification.

9. Indemnity
a.	You agree to indemnify and hold Greens Schools Online, officers, directors, agents, and employees harmless from any liability to third parties, including reasonable solicitor/attorneys' fees, arising from or related to your breach of this Agreement, or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

10. Governing Law
The governing law of this agreement shall be that of England.
